Formation, Inc., a provider of airborne wireless networking systems, has been acquired by EMS Technologies, Inc. (Nasdaq:ELMG). Based in Moorestown, New Jersey, Formation designs and manufactures airborne rugged servers and wireless access points that enable aircraft broadband networks to extend connectivity to passenger laptops and devices. Formation hardware supports in-flight passenger communications through both terrestrial and satellite networks. The Comapny is an approved direct supplier to Airbus, Rockwell Collins, Aircell and Panasonic. Formation also manufactures defense electronics such as advanced integrated recorders, ruggedized hard disks and mobile vehicle tracking systems.

EMS Technologies is a leading supplier of wireless connectivity solutions with technology leadership positions in the aeronautical, defense and wireless logistics computing markets.

EMS Technologies acquired all of the stock of Formation for $40 million in cash and an earn-out valued at up to $15 million. Philpott Ball & Werner served as advisor to Formation.
